IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 11. PLEASE READ THE AGREEMENT CAREFULLY.

Introduction
Watt2Trade DAO LLC ("Watt2Trade," "we," "us," or "our") is a Marshall Islands resident domestic decentralized autonomous organization limited liability company (registration number 10186-25) that develops and provides access to blockchain-based software infrastructure for peer-to-peer energy exchange coordination.
These Terms and Conditions (the "Terms," "Terms of Use," or "Agreement") govern your access to and use of the Watt2Trade Exchange platform (the "DEX" or "Decentralized Exchange"), including the website located at www.watt2trade.com (the "Site"), smart contracts, non-custodial wallet services, and related software tools (collectively, the "Platform" or "Services").
By accessing, connecting a wallet to, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.
1. Definitions
"Acceptable Use Policy" means the policy set forth in Section 4 of these Terms.
"API" means application program interface.
"Content" means any data, text, audio, video, images, software, documentation, or other materials.
"DAO" means Decentralized Autonomous Organization.
"Gas Fees" means transaction fees required by blockchain networks (such as Polygon) to process transactions.
"Losses" means any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees).
"Platform" or "Services" means the Watt2Trade Exchange, including the DEX interface, smart contracts, non-custodial wallet, APIs, and any related tools or services provided by Watt2Trade.
"Third-Party Services" means services, content, or applications provided by entities other than Watt2Trade, including but not limited to fiat on-ramp/off-ramp providers, market data sources, and cloud storage providers.
"User," "you," or "your" means any individual or entity that accesses or uses the Platform.
"Wattoin (WTTO)" means the native digital utility token of the Watt2Trade ecosystem.
"Your Content" means content that you transfer, submit, or generate through your use of the Platform.
2. Platform Description and Purpose
2.1 Core Functionality
Watt2Trade is a peer-to-peer (P2P) digital platform that enables users to coordinate the exchange of energy in a transparent and automated manner. The Platform provides access to smart contracts (code) that allow users to directly carry out transactions between themselves, without intermediaries.
Energy-related interactions on the Platform are expressed exclusively through digital coordination units. These units do not represent, correspond to, or grant rights to physical electricity, energy delivery, energy capacity, or any regulated product. They are solely a technical mechanism for digital planning, simulation, and coordination among users. These units are not financial instruments, commodities, or claims to actual electricity. The Platform enables users to create, match, and settle digital representations of energy exchange through automated smart contracts.
All transactions occur through user-initiated interactions. Watt2Trade's role is strictly limited to providing the technological infrastructure, including smart contract code, to facilitate peer-to-peer exchanges securely and transparently.
2.1(b) Decentralized Exchange (DEX) Functionality
The Platform includes a non-custodial decentralized exchange (DEX) that allows users to: Create, submit, and cancel digital energy exchange orders; Match orders directly with other users through smart contracts; Coordinate digital settlement of virtual energy positions. All DEX interactions occur on-chain, through user-initiated transactions, without intermediaries and without custody of user assets by Watt2Trade.
2.2 Non-Custodial Nature
The Platform is purely non-custodial, meaning: We never have custody, possession, or control of your digital assets at any time; You are solely responsible for the custody of cryptographic private keys to your digital wallets; You retain full control of your private keys and assets at all times; We accept no responsibility for, or liability to you, in connection with your use of any wallet. You should never share your wallet credentials, private keys, or seed phrases with anyone, including Watt2Trade.
Watt2Trade is not a custodian, broker, financial intermediary, money transmitter, commodity dealer, or investment advisor. The Platform never takes possession of user assets, and all interactions occur through user-initiated transactions.
The DEX does not perform order matching on behalf of users. All matches occur automatically through smart contract logic when users voluntarily submit compatible orders. Watt2Trade does not execute, route, batch, aggregate, or otherwise intermediate transactions. Watt2Trade does not act as a broker, agent, dealer, or intermediary in any transaction conducted through the DEX.
2.3 Off-Chain Components
The Platform includes certain off-chain components: a) Market Data: Price and demand information sourced directly from official market operators, either publicly available or accessed under specific licensing agreements. b) Non-Custodial Wallet: A wallet service where users retain full control of their private keys and assets. c) Fiat-Crypto Conversion: Integration with third-party providers for on-ramp and off-ramp services. These providers operate under their own terms, and users interact with them directly.
2.4 Wattoin (WTTO) Token
Wattoin is the native digital utility token of the Watt2Trade ecosystem, designed to facilitate participation, coordination, and incentives across the Platform. Its primary use cases include: Access & Settlement, Fee Reduction (reduced platform fees when using Wattoin: .001 USDC per MW vs standard rates), Staking & Incentives, Governance Participation, and Ecosystem Integration.
IMPORTANT: Wattoin is a utility token, not a security or financial instrument. It is not an investment product and should not be purchased with an expectation of profit from the efforts of others. Token sales are conducted through the website, not through the DEX.
Fee reductions available when using Wattoin are functional and operational in nature. They do not depend on price appreciation, yields, staking rewards, or financial returns of any kind, and are comparable to loyalty credits or usage-based discounts.
2.4A WATTOIN Token Sale Terms (Presale Conditions)
These Token Sale Terms govern the purchase, allocation, distribution, vesting, transfer, and receipt of the Wattoin token through any presale, private sale, public sale, whitelist sale, or other token offering conducted on the Watt2Trade website (the "Token Sale"). These Token Sale Terms apply in addition to all other sections of this Agreement.
2.5.1 Nature of the Token - Utility Only
Wattoin is a digital utility token used exclusively for functional purposes within the Watt2Trade ecosystem. Wattoin: Does not represent equity, shares, securities, debt, derivatives, or financial instruments; Does not grant ownership, voting rights in any corporate entity, dividends, revenue share, or profit participation; Should not be purchased with any expectation of profit, return, or appreciation.
2.5.2 No Investment Intent
By purchasing Wattoin, you affirm that: You are not purchasing Wattoin as an investment; You do not expect profits, returns, or financial gains from the efforts of Watt2Trade or third parties; You understand Wattoin may become worthless and carries high risk.
2.5.3 Finality of Purchase (No Refunds)
All purchases of Wattoin are final, irrevocable, and non-refundable, regardless of token price changes, market conditions, buyer error, network congestion, smart contract execution issues. Blockchain transactions cannot be reversed.
2.5.4 Eligibility and Restricted Jurisdictions
Participation in the Token Sale is strictly prohibited for residents, citizens, or tax residents of: United States, Canada, Japan, Puerto Rico, Any OFAC-sanctioned country, Any jurisdiction where utility token sales are restricted. By participating, you represent that you are not located in a Restricted Country and are at least 18 years old.
2.5.5 Token Delivery and Smart Contract Execution
Wattoin distribution occurs exclusively through smart contract execution. Watt2Trade does not control blockchain confirmation speeds, cannot reverse transactions, and is not responsible for wallet errors, gas fees, or lost private keys.
2.5.6 Vesting, Lock-Up, and Transfer Restrictions
If applicable, vesting schedules, cliffs, or lock-up periods will be defined in sale documentation, are enforced automatically via smart contracts, are binding for all purchasers, prohibit transfers until vesting has unlocked, and are not subject to manual alteration by Watt2Trade.
2.5.7 Risks Specific to Token Purchases
Purchasing Wattoin involves significant risks, including high volatility, lack of liquidity, potential loss of all value, smart contract vulnerabilities, and regulatory changes affecting usability. You expressly accept all such risks.
2.5.8 No Guarantee of Exchange Listing or Liquidity
Watt2Trade does not guarantee token listing on exchanges, secondary market liquidity, price stability, or future demand for the token.
2.5.9 Tax Responsibility
You are solely responsible for determining your tax obligations, reporting taxable events, and paying any required tax in your jurisdiction. Watt2Trade provides no tax advice.
2.5.10 Purchaser Representations
By participating in the Token Sale, you represent and warrant that you have read and understood these Terms, are legally permitted to purchase digital tokens, will not use Wattoin for illegal activities, will not attempt to circumvent these restrictions, and are not purchasing on behalf of any prohibited person.
2.5.11 Prevalence of Token Sale Terms
In the event of any conflict between these Token Sale Terms and any other provision of this Agreement, these Token Sale Terms shall control with respect to Wattoin purchases.
2.6 No Energy Market, No Supply, and No Regulated Energy Services
Watt2Trade does not buy, sell, supply, transport, distribute, or deliver physical electricity. The Platform does not operate as a wholesale electricity market, balancing market, ISO/RTO operator, auction platform, aggregator, intermediary, generator, supplier, or energy marketer under any jurisdiction.
All interactions are purely digital and do not replace, modify, or interact with physical electricity grids, market operators, system operators, or regulatory entities such as CENACE, CRE, FERC, NERC, CAISO, ERCOT, PJM, ENTSO-E, or any equivalent authority. Nothing on the Platform constitutes participation in a regulated energy market or a transaction for the delivery or settlement of actual electricity.
2.7 No Regulated Exchange or Marketplace
The DEX is not a commodity exchange, financial exchange, OTC platform, multilateral trading facility (MTF), organized trading facility (OTF), energy marketplace, or any regulated trading venue under the laws of any jurisdiction. The DEX merely provides a technical interface where users interact directly with smart contracts.
2.8 MiCA Clarification
For purposes of the European Union's Markets in Crypto-Assets Regulation (MiCA), the Platform does not provide any regulated crypto-asset services (CASPs) including custody, execution of orders, operation of a trading platform, portfolio management, or advice. Wattoin qualifies as a utility token under MiCA Article 3(5), and the DEX performs no activities covered by MiCA Title V.
3. User Eligibility and Access
3.1 Eligibility Requirements
To access or use the Platform, you represent and warrant that: a) Age: You are at least 18 years of age and have the legal capacity to enter into binding contracts. b) Legal Authority: If entering this Agreement on behalf of an entity, you have legal authority to bind that entity. c) Compliance: You are not located in, incorporated in, or a citizen or resident of any Restricted Country (as defined in Section 3.4). d) Sanctions: You and your financial institutions, and any party that owns or controls you or your financial institutions, are not subject to sanctions and not located in any country subject to comprehensive sanctions programs. e) Knowledge and Sophistication: You represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems.
3.2 Wallet Connection
To use the Platform, you must connect a compatible Web3 wallet. You are solely responsible for maintaining the security of your wallet, all transactions initiated through your connected wallet, and ensuring your wallet software is up to date.
3.3 Account Registration and KYC/AML
The Platform may require user registration for certain features. Certain third-party service providers integrated into the Platform may require Know Your Customer (KYC) and Anti-Money Laundering (AML) verification as part of their own regulatory obligations. Watt2Trade does not directly perform KYC/AML unless explicitly required by law. Failure to complete KYC/AML verification may result in limited or suspended access to certain Platform features.
3.4 Restricted Countries
Access to and use of the Platform is strictly prohibited for users located in, incorporated in, or residents of the following countries: Canada, Central African Republic, Congo, Cuba, Guam, Iran, Iraq, Japan, Democratic People's Republic of Korea, Libya, Mali, Myanmar, Panama, Puerto Rico, Samoa, Somalia, Sudan, South Sudan, Syrian Arab Republic, United States, Virgin Islands (U.S.), Yemen. By accessing the Platform, you confirm that you are not located in, incorporated in, or a resident of any Restricted Country.
3.5 Notice to Parents and Guardians
If a minor uses the Platform with parental consent, the parent or legal guardian agrees to these Terms on behalf of the minor and is responsible for supervising the minor's online activities.
4. Acceptable Use Policy and Prohibited Activities
4.1 General Conduct
You agree to use the Platform in compliance with all applicable laws, regulations, and these Terms. You are solely responsible for ensuring your use of the Platform complies with all laws in your jurisdiction.
4.2 Prohibited Activities
You agree not to engage in: Intellectual Property Infringement; Cyberattack; Fraud and Misrepresentation; Market Manipulation (including "rug pulls," pump and dump schemes, wash trading, or spoofing); Money Laundering and Terrorist Financing; Sale of Stolen Property; Data Mining or Scraping; Objectionable Content; Circumvention; Unauthorized Access; Spam and Unsolicited Communications; Smart Contract Manipulation (including front-running, sandwich attacks, or other MEV strategies); Unfair Competition; Misuse of Confidential Information; or any other unlawful conduct.
4.3 Fair Use Policy
Users are expected to use the Platform responsibly and in good faith. Watt2Trade prohibits activities that could harm the integrity, security, or stability of the Platform.
4.4 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Platform, reporting to appropriate law enforcement authorities, legal action to recover damages, and forfeiture of any fees paid.
5. User Responsibilities
5.1 Security and Backup
You are solely responsible for properly configuring and using the Platform securely, protecting and backing up your accounts and Content, securing your private keys, seed phrases, and passwords, installing software updates promptly, and recording and securely maintaining any passwords or secret recovery phrases.
WARNING: Storing seed phrases digitally may increase the risk of theft or compromise. You must never share passwords, private keys, or seed phrases with anyone, including Watt2Trade representatives.
5.2 Verification of Identity and Transactions
You bear full responsibility for verifying the identity, legitimacy, and authenticity of any counterparty to a transaction, any order you create or match, and any smart contract you interact with.
5.3 Trading and Investment Disclaimer
All trades you submit are unsolicited and solely initiated by you. You have not received any investment advice from Watt2Trade. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You are solely responsible for conducting your own research and due diligence and making your own independent decisions.
5.4 Tax and Regulatory Compliance
Your use of the Platform may result in tax consequences. It is your sole responsibility to determine, report, and remit applicable taxes. You are solely and entirely responsible for compliance with all laws and regulations applicable to you.
5.5 Gas Fees
Blockchain transactions require payment of Gas Fees to the network. You are solely responsible for paying all Gas Fees for transactions you initiate. Gas Fees are paid to network validators, not to Watt2Trade.
5.6 Log-In Credentials and API Authentication
If we provide log-in credentials or API authentication, these are for your use only; you will not sell, transfer, or sublicense them; and you remain responsible for all activities under your credentials.
5.7 Release of Claims
You expressly agree that you assume all risks in connection with your access and use of the Platform, and you waive and release Watt2Trade from any and all liability arising from or relating to your use of the Platform.
5.8 DEX Operations
When using the DEX, you are solely responsible for verifying transaction parameters before signing, ensuring you have sufficient balance and gas fees, understanding order execution logic, managing slippage tolerance, and avoiding malicious smart contracts.
6. Third-Party Services
6.1 The Platform may provide access to third-party content, products, or services, including fiat on-ramp/off-ramp providers, market data sources, oracles, bridges, cloud storage providers, and other blockchain protocols or decentralized applications.
6.2 Your access to and use of Third-Party Services is at your own election and risk and subject to separate terms set by the provider.
6.3 We do not verify, curate, control, endorse, or recommend Third-Party Services.
6.4 Watt2Trade disclaims all responsibility and liability for any Losses resulting from your use of Third-Party Services.
6.5 We reserve the right to change, suspend, remove, disable, or impose access restrictions on Third-Party Services at any time without notice.
6.6 The Platform sources price and demand information from official market operators. Watt2Trade is not responsible for the accuracy, completeness, or reliability of such information.
7. Fees and Payments
7.1 Platform Fees: Gas Fees (paid to the Polygon network in POL tokens); Placement Fee (0.001 USDC per bid/offer); Transaction Fee (standard rate per megawatt transacted); Reduced Fee (0.001 USDC per MW when using Wattoin).
7.2 We may increase or add new fees by posting updated fees and providing 30 days' notice for material fee increases.
7.3 All fees are exclusive of taxes unless otherwise stated; fees are non-refundable except as expressly stated.
7.4 Each party is responsible for taxes imposed on that party.
8. Intellectual Property Rights
8.1 Watt2Trade owns all right, title, and interest in the Platform. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Platform.
8.2 Certain components may be provided under separate open source licenses.
8.3 You will not modify, reverse engineer, resell, or misuse the Platform or our marks.
8.4 You retain all rights to Your Content; you grant us a limited license to use it solely to provide the Platform, comply with law, and enforce these Terms.
8.5 We may use any Suggestions you provide without restriction.
8.6 You acknowledge third-party data source terms and agree to keep proprietary notices intact.
8.7 Copyright infringement claims may be sent to notices@watt2trade.com (Subject: "Copyright Notification").
9. Platform Modifications and Availability
9.1 We may change, discontinue, or remove functionality at any time, using commercially reasonable efforts to communicate material changes.
9.2 The Platform is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure availability.
9.3 We may modify these Terms at any time; continued use constitutes acceptance of the modified Terms.
10. Suspension and Termination
10.1 We may suspend your access immediately if your use poses a security or legal risk or breaches these Terms.
10.2 You remain responsible for fees during suspension.
10.3 We may limit your API requests at any time.
10.4 You may terminate by ceasing use, disconnecting your wallet, or providing written notice to notices@watt2trade.com.
10.5 We may terminate for convenience upon 30 days' notice, or immediately for cause.
10.6 Upon termination, all your rights terminate, you must cease use, and surviving provisions continue in effect.
10.7 Except as required by law, termination does not entitle you to any refund of fees paid.
11. Disclaimers and Risks
11.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WATT2TRADE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11.2 Blockchain and Cryptographic Risks: You represent that you are technically sophisticated enough to understand the risks of cryptographic and blockchain-based systems. Blockchain transactions are irreversible. Watt2Trade does not store or recover your private keys or seed phrases. Digital tokens present market volatility risk and you may lose some or all of your investment. Smart contracts are experimental technology and may contain bugs or vulnerabilities.
11.3 Market Data and Information Risks: Watt2Trade is not responsible for the accuracy, completeness, or timeliness of market data from electricity market operators.
11.3(ter) DEX-Specific Risks include order slippage, low liquidity, front-running/MEV, smart contract execution errors, failed transactions, and inaccurate or delayed market data. Watt2Trade has no liability for any losses arising from DEX trading activity.
11.3(bis) Energy Regulatory Clarification: Watt2Trade solely facilitates digital coordination and representation of energy-related interactions. The digital units are virtual instruments and do not represent or substitute physical electricity transactions.
11.4 Watt2Trade does not control any blockchain protocol, third-party smart contracts, or Third-Party Services.
11.5 YOU EXPRESSLY ASSUME FULL RESPONSIBILITY FOR ALL RISKS OF ACCESSING AND USING THE PLATFORM TO INTERACT WITH BLOCKCHAIN PROTOCOLS.
12. Limitation of Liability
12.1 WITH THE EXCEPTION OF CLAIMS RELATING TO BREACH OF INTELLECTUAL PROPERTY RIGHTS (SECTION 8) OR INDEMNIFICATION (SECTION 13), IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WATT2TRADE EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID IN THE 12 MONTHS PRECEDING THE FIRST INCIDENT, OR (b) $25,000 USD.
12.2 IN NO EVENT WILL WATT2TRADE BE LIABLE FOR LOST PROFITS, LOST REVENUES, LOST GOODWILL, LOSS OF DATA, LOSS OF DIGITAL ASSETS OR TOKENS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12.3 If any limited remedy fails of its essential purpose, all disclaimers and limitations of liability shall remain in effect to the maximum extent permitted by law.
12.4 The disclaimers and limitations in this Section reflect a reasonable and fair allocation of risk and form an essential basis of the bargain.
13. Indemnification
13.1 You agree to defend, indemnify, and hold harmless Watt2Trade from any Losses arising out of or relating to your breach of this Agreement, violation of law or third-party rights, Your Content, your use or misuse of the Platform, or your failure to comply with applicable laws.
13.2 Subject to the limitations in Section 13.4 and Section 12, we will defend you against third-party claims that the Platform infringes intellectual property rights, but we will not be required to spend more than $200,000 USD.
13.3 We have no indemnification obligations for claims arising from your combination of the Platform with other products, your use after notice to discontinue, modifications by you or third parties, your breach, or Third-Party Services.
13.4 The party seeking indemnification must promptly notify the other; the indemnifying party controls the defense; the indemnified party cooperates.
14. Dispute Resolution and Arbitration
14.1 PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute relating to this Agreement will be resolved by binding arbitration, rather than in court, except small claims that qualify.
14.2 This Agreement is governed by the laws of Mexico. Prior to arbitration, parties shall first seek settlement by mediation. Arbitration shall be conducted under ICC rules, in English, seated in Ciudad de Mexico, Mexico.
14.3 CLASS ACTION WAIVER: YOU AND WATT2TRADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.4 If the class action waiver is void or unenforceable, the entire arbitration provision shall be deemed null and void.
14.5 Opt-Out Right: You may opt out of the binding arbitration and class action waiver by sending written notice to notices@watt2trade.com (Subject: LEGAL OPT OUT) within 30 days of your first use of the Platform.
14.6 For any Claim not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Ciudad de Mexico, Mexico.
14.7 Either party may seek equitable relief in any court of competent jurisdiction to protect intellectual property rights, prevent irreparable harm, or enforce the arbitration provision.
14.8 Any Claim must be brought within one (1) year after the cause of action arises, or it will be permanently barred.
15. Governance and Community Participation
15.1 Watt2Trade operates as a decentralized autonomous organization (DAO).
15.2 Wattoin (WTTO) token holders may participate in governance processes.
15.3 Governance participation does not grant you control over the Platform and does not create any fiduciary relationship. Governance voting is non-binding unless explicitly implemented through on-chain governance modules.
15.4 This Agreement does not create or impose any fiduciary duties on Watt2Trade.
15.5 To the extent a DAO votes in favor of and/or accepts the Platform, the DAO has acknowledged and agreed to these Terms in their entirety.
16. Security, Audits, and Bug Bounty
16.1 Watt2Trade conducts security audits of smart contracts on an annual basis. Audits do not guarantee the absence of bugs or vulnerabilities.
16.2 Watt2Trade maintains a bug bounty program. Report security vulnerabilities to security@watt2trade.com; do not exploit or publicly disclose them before they are addressed.
16.3 No system is completely secure; you are responsible for your own security practices.
16.4 WE MAKE NO WARRANTY THAT THE PLATFORM WILL BE SECURE OR FREE FROM BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
17. Privacy and Data Protection
17.1 Your use of the Platform is subject to our Privacy Policy, incorporated into these Terms by reference.
17.2 We may collect wallet addresses, transaction data (publicly available on blockchain), usage analytics, KYC/AML information (if required), and communications with us.
17.3 We use collected data to provide and improve the Platform, comply with legal obligations, prevent fraud and abuse, and communicate with you.
17.4 Blockchain transactions are public and permanent; your wallet address and transaction history may be publicly visible.
17.5 We may share data with service providers, law enforcement when required by law, and third parties as described in our Privacy Policy.
18. Miscellaneous Provisions
18.1 This Agreement constitutes the entire agreement between you and Watt2Trade and supersedes all prior agreements.
18.2 You may not assign this Agreement without our prior written consent; we may assign it in connection with a merger, acquisition, or reorganization.
18.3 Any modification to these Terms must be made in writing by Watt2Trade.
18.4 Neither party will be liable for delay or failure to perform due to causes beyond reasonable control (force majeure).
18.5 If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
18.6 Failure to enforce any provision does not constitute waiver.
18.7 Watt2Trade and you are independent contractors.
18.8 This Agreement does not create any third-party beneficiary rights except as expressly stated.
18.9 All communications under this Agreement must be in English.
18.10 We may provide notice by posting on the Site, sending email, or using public channels. You must provide notice by email to notices@watt2trade.com.
18.11 You will comply with all applicable import, export, re-export, sanctions, and trade control laws.
18.12 Watt2Trade SAPI de CV owns the intellectual property and has licensed it to Watt2Trade DAO LLC.
18.13 The Platform may display promotional materials for informational purposes only; they do not constitute investment advice.
18.14 Section headings are for convenience only.
18.15 Provisions that by their nature should survive termination shall survive, including Sections 5, 8, 11, 12, 13, 14, and 18.

20. Acknowledgment and Acceptance
BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, AGREE TO BE BOUND BY THEM, MEET ALL ELIGIBILITY REQUIREMENTS, UNDERSTAND THE RISKS, AND ARE ENTERING INTO THIS AGREEMENT VOLUNTARILY.
IMPORTANT FINAL REMINDERS: THE PLATFORM IS NON-CUSTODIAL. YOU ARE SOLELY RESPONSIBLE FOR YOUR PRIVATE KEYS. BLOCKCHAIN TRANSACTIONS ARE IRREVERSIBLE. WATT2TRADE DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. YOU ASSUME ALL RISKS OF USING THE PLATFORM. DIGITAL ASSETS ARE HIGHLY VOLATILE AND YOU MAY LOSE YOUR ENTIRE INVESTMENT. THIS AGREEMENT INCLUDES BINDING ARBITRATION AND CLASS ACTION WAIVER. YOU HAVE 30 DAYS TO OPT OUT OF ARBITRATION.
